TERM

The Knowlita, LLC dba New York or Nowhere (“NYON”) inaugural Photo Contest (the “Contest”) begins May 31, 2023 at 5:00PM Eastern Standard Time (“EST”), and ends June 4, 2023, at 5:00 PM EST.  By submitting an entry, each entrant (the “Entrant(s)”) agrees to the Contest rules stated below.

WHO CAN ENTER

You must be at least 18 years old on or before May 31, 2023. Individuals affiliated with NYON or Knowlita, LLC, including employees, interns, volunteers, and each of their immediate families (children, parents, siblings and spouses) and others living in their households are not eligible to enter. NYON will determine winners’ eligibility in its sole discretion.

SUBMISSION GUIDELINES

To be eligible, a photograph (the “Photograph”) must have been taken by Entrant on or after January 1, 2020. The Entrant certifies that he/she/they is the sole creator and copyright owner of the submitted photograph.
For a photo in which a person is visibly recognizable, you must be prepared to provide a model release from the subject or, in the case of a minor, the subject’s parent or guardian, to NYON upon request. Similarly, Entrants whose photos depict other people’s work (such as sculptures, statues, paintings, and other copyrightable works) must be prepared to provide a release from the rights holder to NYON upon request. When photographing the work of others, it must be as an object in its environment and not a full-frame close-up of another person's creation. If the Entrant is unable to provide all required releases, NYON in its sole discretion reserves the right to disqualify the submission, seek to secure the required releases, or permit the submission to remain in the contest.
Photos must be taken in accordance with federal, state and local laws. Photos that violate or infringe upon another person's rights, including but not limited to copyright, are not eligible. Photos that contain sexually explicit, nude, obscene, violent or other objectionable or inappropriate content, as determined by NYON in its sole discretion are ineligible for the Contest.

HOW TO ENTER

Please submit photographs and other requested information online through our Typeform. Entrants may submit up to three (3) photographs total. In order to be eligible, winning photographs must be available in .JPG or .TIFF form, edited for the web in sRGB color space, and at least 4,800px on the smallest side. You must complete a separate Typeform for each photo submitted. High-quality scans of non-digital photographs are acceptable. Digital photographs should be taken at the highest resolution possible.

Finalists must be prepared to submit an original, unedited digital file. NYON reserves the right to disqualify incomplete entries and/or contestants who are unable to submit, upon request, a high-resolution photograph of at least 300 dpi at 4,800 pixels on the shortest side. NYON may collect a photograph’s metadata upon submission.

USE OF PERSONAL DATA

Participation in the contest requires the collection of your name, email address, and social media handles. By entering this contest, you are consenting to the use of your name and email address for further communications regarding this contest.

ENTRY DEADLINE

The submission window begins on May 31, 2023 at 5:00PM EST, and ends on June 4, 2023, at 5:00 PM EST. All entries must be received through the Typeform provided by NYON.

JUDGING

Entries will be judged based on creativity, quality, originality, and relevance to the brand. NYON will announce the ten (10) finalists (the “Finalists”) between June 5-6, 2023, at which point audience voting will commence via the company’s Instagram channel(s). Voting will occur between June 5-6, 2023, ending no later than 5:00PM EST on June 6. From the same group of Finalists, NYON’s team will also select a second winner following the completion of audience voting.

WINNERS

The Contest will have two (2) winners, both of whom will be announced between June 8-9, 2023. NYON will announce the individuals chosen via NYON’s Instagram account, which is located at instagram.com/newyorkornowhere. Both photographs will be turned into limited-edition prints, which will subsequently be made available for sale both online at newyorkornowhere.com, and at NYON’s flagship store in NYC. 

These dates may be subject to change. NYON will notify winners via the contact information provided at the time of entry. NYON may disqualify anyone who fails to respond to the notification within one (1) business day. Please do not contact us about the status of entries or judging.

PRIZES

(1) Audience Prize: $2,500
(2) NYON Prize $2,500

One cash prize per person; winners may receive additional non-cash prizes. Winners must sign a release and license, as well as a declaration of eligibility, and will be responsible for paying any fees or taxes associated with the prize. All prizes are awarded “as is” and non-transferable.  In case applicable law prohibits NYON from awarding a photographer the cash prize and/or any non-cash prize, NYON may award the prize in name only.

The winning Entrants must submit their personal information, including social-security number, mailing address, and bank account details through NYON's payroll provider, Gusto. Prizes will be paid via direct deposit within 60 days of the Contest's completion.

CONDITIONS OF ENTRY

Entrants hold NYON and its directors, officers, employees, retail associates, agents, and assigns (collectively, the “Indemnified Parties”) harmless from and against all claims of any nature arising in connection with Entrant’s participation in the contest and acceptance or use of a prize. The Indemnified Parties are not liable for any costs, damages, injuries, or other claims incurred because of Entrants participation in the contest or winner’s acceptance and usage of a prize. The Indemnified Parties are not responsible for incomplete or misdirected entries, technical or network malfunctions or failures, or causes beyond their control. Entrants are solely responsible for their entries. Entrants may not submit materials that introduce any software viruses, worms or other programs designed to damage software, hardware or telecommunications equipment or are off-topic, partisan-political, contain advertising, nudity, personal attacks or expletives, or is otherwise abusive, threatening, unlawful, harassing, discriminatory, libelous, obscene, false, sexually explicit, or that infringes on the rights of any third party.

The contest is void where prohibited or restricted by law. NYON reserves the right to cancel the contest or modify these rules at its discretion. In the event of a dispute regarding the winners, NYON reserves the right to award or not award the prizes in its sole discretion. NYON reserves the right to disqualify any Entrant whose entry or conduct appears in any way to: inhibit the enjoyment of others; tamper with the competition; violate these rules or other applicable law or regulation; infringe on the rights of third parties; or act in an unsportsmanlike or disruptive manner. 

Entrants retain rights to their photograph; however, by entering the contest, Entrants authorize NYON (and those authorized by NYON) an irrevocable, royalty-free, worldwide, perpetual, exclusive license to publicly display, distribute, reproduce and create derivative works of the entries, in whole or in part, in any media now existing or later developed, for any purpose, including, but not limited to, advertising and promotion, and commercial products, including any sales of products utilizing the photograph. Any photograph reproduced will include a photographer credit as feasible and you grant NYON the irrevocable, royalty-free right to use your name in connection with NYON and NYON’s use of your submitted photograph(s).

NYON will not be required to pay any additional consideration or seek any additional approval in connection with the foregoing actions or uses. Entrant agrees that neither NYON nor any other entity will pay Entrant or any other entity any additional compensation or royalty for any use of the Photograph or for any of the rights granted herein.
